Governance

This Manual is designed to assist Board Members and Officers to understand and comply with the highest standards of governance. It does this by explaining roles, responsibilities and obligations set within the framework of the law and agreed policies and practices.


The key governance documents are identified at relevant points to assist understanding and to provide useful reference points. Governance is the system by which companies are directed and controlled. It is partly about procedures, policies, documents and management arrangements that are in place to administer and control the company effectively, including its finances and delivery of services. It is also about the behaviour of Board Members and BHPs relationships with its stakeholders.


The responsibilities of the Board include setting the companies strategic aims, providing leadership to put them into effect, supervising the management of the business and reporting on their stewardship.
